The governance friction within the Tata Group has intensified as Tata Trusts Chairman Noel Tata has formally written to the Tata Sons board demanding access to the video recording and official minutes of the contentious September 17 board meeting.
In a communication dated September 30, Noel Tata raised serious concerns regarding the procedural conduct of the meeting, highlighting that N Chandrasekaran’s reappointment for a second five-year term as Tata Sons executive chairman was not initially listed on the agenda and was instead brought up under a “Debrief by NRC” item. Furthermore, he questioned the basis and process through which subsequent legal opinions were procured to validate the decision.
The core of the dispute revolves around differing interpretations of Tata Sons’ Articles of Association—specifically regarding the voting rights of Tata Trusts nominee directors and the exercise of a casting vote by the presiding chairman. While the 4–1 board vote pushed through Chandrasekaran’s extension (with Noel Tata dissenting and fellow trust nominee Venu Srinivasan voting in favor), Tata Trusts has maintained that the reappointment is legally invalid without mutual nominee consent, backed by a legal opinion from former CJI D.Y. Chandrachud. Conversely, Tata Sons has relied on favorable opinions from former jurists U.U. Lalit and B.N. Srikrishna, setting the stage for a prolonged institutional standoff.
