Food delivery and quick-commerce major Swiggy Limited has officially completed the sale of its entire 100% shareholding in Lynks Logistics Limited to Trustroot Internet Private Limited.
According to regulatory filings submitted to the BSE and NSE pursuant to Regulation 30 of the SEBI Listing Obligations, the transaction was executed through Swiggy’s wholly-owned material subsidiary, Swiggy Networks Limited, and concluded during the closing hours of October 15, 2026.
Key Highlights of the Deal
-
Cessation of Subsidiary Status: Following the transfer of shares, Lynks Logistics Limited has officially ceased to be a subsidiary of Swiggy Networks Limited and a step-down subsidiary of Swiggy Limited.
-
Transaction Value & Structure: The deal is valued at ₹500 crore and structured as an all-stock transaction. In exchange for the complete equity stake in Lynks Logistics, Swiggy receives preference shares in Trustroot Internet Private Limited.
-
Financial Scale of Lynks: In FY26, the B2B retail distribution business under Lynks Logistics generated ₹668 crore in revenue, contributing approximately 2.90% to Swiggy’s consolidated revenue.
-
Timeline: The completion follows Swiggy’s initial transaction disclosure and definitive agreement intimation filed on September 7, 2026.
Strategic & Market Implications
-
Capital Allocation & Core Focus: Offloading Lynks Logistics allows Swiggy to streamline its balance sheet and focus capital and operational resources on its primary B2C verticals—food delivery and its expanding quick-commerce network (Swiggy Instamart).
-
Equity Exposure Retained: By executing an all-stock transaction rather than a complete cash exit, Swiggy reduces direct operational expenditures and secondary B2B logistics drag while retaining strategic upside in the broader B2B distribution ecosystem through its equity holding in Trustroot Internet.
