    The Competition Commission of India (CCI) has officially approved the 100% equity acquisition of NCR Atleos Corporation by global cash management and logistics provider The Brink’s Company.

    Upon completion of the transaction, NCR Atleos will operate as a wholly owned subsidiary of The Brink’s Company.

    Key Deal Details

    • Transaction Value: Approximately $6.6 billion in a cash-and-stock deal, including debt.

    • Listing: Both companies are listed on the New York Stock Exchange (NYSE: BCO for Brink’s; NYSE: NATL for NCR Atleos).

    • Regulatory Compliance: Because the deal exceeds mandatory turnover and asset thresholds under India’s Competition Act, prior CCI approval was required to prevent adverse impacts on market competition.

    The Brink’s Company Valuables logistics, digital retail solutions, and ATM management operating in 100+ countries. Operates via Brink’s India Pvt. Ltd., handling cash replenishment and first-line ATM maintenance.
    NCR Atleos Corporation Self-directed banking solutions and ATM network operations. Manufactures ATM hardware at its Chennai plant, develops ATM software, and provides total ATM management services.

    Strategic Significance

    The merger combines Brink’s route-based physical cash security infrastructure with NCR Atleos’ end-to-end ATM software and outsourced management services (“ATM-as-a-Service”). The combined entity aims to streamline total cash lifecycle management for financial institutions and retailers globally.
