The Insurance Regulatory and Development Authority of India (IRDAI) has granted final regulatory approval for Patanjali Ayurved and the Dharampal Satyapal (DS) Group to acquire Magma General Insurance for approximately ₹4,500 crore.

This approval clears the final regulatory hurdle for the transaction, officially marking Baba Ramdev-led Patanjali Ayurved’s entry into the financial services and non-life insurance sector.

    Ownership Breakdown & Structure

The acquiring consortium is buying out stakes previously held by Adar Poonawalla-owned Sanoti Properties LLP (which held a 72.4% controlling stake prior to the deal) along with minority shareholders Celica Developers and Jaguar Advisory Services:

Acquirer / Entity Post-Deal Stake Role in Company
Patanjali Ayurved 73.56% Promoter (Capital Infusion & Operations)
DS Group (Rajnigandha parent) 24.50% Co-Investor
Selling Entity Sanoti Properties (Adar Poonawalla) Exiting Majority Stake

Under the regulatory terms, Patanjali Ayurved will assume the promoter role, committing ongoing capital infusions to support the insurer’s solvency and expansion.

Magma General Insurance Financial & Solvency Metrics

    Operational Metric Performance Data
FY26 Gross Written Premium (GWP) ₹4,057 Crore (+11.6% YoY from ₹3,635 Crore in FY25)
FY26 Net Profit ₹29 Crore (up from ₹1 Crore in FY25 and a ₹141 Crore loss in FY24)
Solvency Ratio 1.81x (Above regulatory benchmark of 1.50x)
Product Portfolio 70+ products spanning motor, health, fire, and commercial risk

    Strategic Impact & Synergy

    • Rural & Semi-Urban Expansion: The acquisition allows Magma General Insurance to leverage Patanjali’s extensive distribution network, spanning over 2,00,000 retail counters, national supermarket partnerships (Reliance Retail, Star Bazaar), and 250+ Patanjali Mega Stores across tier-2, tier-3, and rural India.

    • Capital & Growth Drive: Magma’s existing partner base (comprising over 22,000 agents, brokers, and motor insurance providers) will combine with the DS Group and Patanjali’s retail reach to target underpenetrated insurance markets across Northern and Central India.
