Flipkart’s Former Executives Write to Walmart Board, Demanding Fair ESOP Treatment and Full Liquidity

A high-stakes governance and compensation conflict has erupted at Flipkart. A group of prominent former CXOs and senior executives—including former Myntra CEO Mukesh Bansal, former Flipkart CBO Ankit Nagori, former CTOs Amod Malviya and Ravi Garikipati, former CPO Mekin Maheshwari, and former VP Anuj Chowdhary—have formally written to the Walmart board of directors.

The letter urges Walmart to ensure “fair and equitable treatment” for former employees holding long-vested Employee Stock Option Plans (ESOPs), bringing simmering internal discontent over wealth distribution into the open.

    Key Core Demands & Background

    • The Core Grievance: The signatories—many of whom earned their stock options during Flipkart’s foundational growth phase between 2008 and 2016 and have held them for over a decade—are pushing for full cash-out opportunities on their vested options, equivalent to the liquidity privileges extended or proposed for current personnel.

    • The Backdrop of Stalled IPO Timelines: The friction coincides with growing employee unease over stretched timelines for Flipkart’s much-anticipated initial public offering (IPO). To appease current staff morale amid delayed public market debuts, Flipkart management has been weighing a fresh ESOP liquidity program allowing current staff to cash out a portion (reports suggest 20% to 25%) of their vested holdings.

    • Exclusion of Former Staff: Historically, former employees face strict limitations regarding participation in secondary buyback windows, barring them from independent secondary market sales due to tight private company transfer restrictions. This has left early builders holding illiquid paper wealth while newer buyback proposals target active personnel.

    • A History of Massive Payouts: Flipkart has historically distributed over $1.5 billion in cumulative employee liquidity through various buybacks—most notably a massive ~$700 million payout following the separation of PhonePe. However, the exclusion of alumni who helped scale the company in its early years has intensified calls for policy reform.

    Broader Industry Implications

This confrontation places Walmart in a delicate position. As Flipkart navigates its path toward domestic readiness (including redomiciling its corporate structure to India), how the board responds to its founding architects will set a crucial precedent for startup ESOP governance, alumni relations, and employee expectations across the broader Indian tech ecosystem.
