    Intellius Recode Files for IPO: AI “Digital Workers” Take Center Stage

    Chennai-based AI solutions provider Intellius Recode Limited has officially filed its Draft Red Herring Prospectus (DRHP) with SEBI on March 29, 2026. The company is looking to capitalize on the surging global demand for enterprise automation and “Agentic AI.“

    The IPO Structure

    The offering is a mix of fresh capital and an exit for existing investors:

    • Fresh Issue: ₹117 Crore (to be used for growth and R&D).

    • Offer for Sale (OFS): Up to 12.9 lakh equity shares by existing promoters and shareholders.

    • Promoter Stake: Recode Solutions Inc. currently holds an 86.83% stake in the company and is the primary selling shareholder in the OFS.

    • Listing: The shares are proposed to be listed on both the BSE and NSE.


    How the Funds Will Be Used

    Unlike traditional manufacturing firms, Intellius Recode’s capital expenditure is focused almost entirely on “digital labor”:

    1. Developing “Digital Workers”: Funding the R&D and technical costs for their proprietary AI-enabled software products.

    2. Subcontracting Fees: Paying for specialized technical services required to build and refine their AI platforms.

    3. General Corporate Purposes: Strengthening the balance sheet for future expansion.

    Business Model: What is “Agentic AI”?

    Intellius Recode specializes in “Digital Workers”—AI software designed to function as virtual employees.

    • Technology Consulting: Helping enterprises integrate data analytics and robotic process automation (RPA).

    • Digital Workers: These are not just basic bots; they use computer vision and Agentic AI to interact with enterprise systems, data, and workflows across front- and back-office operations.

    • Scale: Since its inception in 2018, the company has automated over one million transactions for more than 100 global clients.

    The company’s growth reflects the broader AI boom, though recent half-year figures show a slight stabilization:

    While Intellius Recode represents the high-growth AI sector, it enters the market during a volatile period:

    • Regional Instability: As of late March 2026, Foreign Portfolio Investors (FPIs) have pulled a record ₹1.14 Lakh Crore from Indian equities due to the ongoing West Asia conflict.

    • Peer Competition: The company will be compared against listed giants like Coforge, Birlasoft, and the recently listed Fractal Analytics.

    Note for Investors: Inga Ventures is acting as the Book Running Lead Manager for this issue. As with all tech IPOs, the valuation will likely depend on the company’s ability to prove that its “digital workers” can scale significantly faster than human-led consulting.
